1. Agreement and eligibility

1.1 By accessing encoreresearchlabs.com (the “Site”) or placing an order with Encore Research Labs LLC (“Encore,” “we,” “us,” or “our”), you enter into a binding agreement governed by these Terms and Conditions (the “Terms”).
1.2 You confirm that you are a qualified professional or institutional representative purchasing products solely for in‑vitro laboratory research or analytical purposes and not for any form of in‑vivo, clinical, or consumer use.
1.3 If you do not agree with these Terms or cannot meet the eligibility criteria, you must not use the Site or purchase products from Encore.

2. Research‑only status and use limitations

2.1 All Encore products are supplied exclusively as research‑grade reagents for in‑vitro laboratory use by trained personnel.
2.2 Products are not drugs, medical devices, diagnostic tools, dietary supplements, cosmetics, or food ingredients and must never be used in or on humans or animals, including but not limited to injection, ingestion, inhalation, implantation, or topical application.
2.3 You agree not to use Encore products:

For any therapeutic, prophylactic, or diagnostic procedure.
To manufacture or formulate finished products intended for human or veterinary use.
In contravention of institutional review, biosafety, or chemical safety requirements.

2.4 Encore may decline, cancel, or restrict any order that appears inconsistent with research‑only use or that raises safety, compliance, or reputational concerns.

3. Buyer representations, safety, and compliance

3.1 By ordering, you represent and warrant that:

You have appropriate scientific training and technical expertise to handle research chemicals safely.
You are affiliated with, or acting on behalf of, a legitimate research institution, laboratory, university, or professional entity.
Your facilities, equipment, and procedures meet applicable safety, storage, and waste‑disposal standards.

3.2 You are solely responsible for:

Conducting risk assessments, implementing hazard controls, and following all Safety Data Sheet (SDS/MSDS) guidance.
Ensuring that all personnel who handle Encore products are trained, supervised, and authorized.
Complying with all applicable local, state, federal, and international laws, including but not limited to chemical management, export controls, and environmental regulations.

3.3 You agree to indemnify and hold harmless Encore and its officers, employees, and agents from any claim, loss, damage, cost, or liability arising from your use, misuse, storage, handling, transport, or disposal of Encore products or your breach of these Terms.

4. Prohibited inquiries and account actions

4.1 Encore does not provide instructions for reconstitution, dosing, administration, or other biological application in humans or animals.
4.2 Any inquiry regarding human administration, self‑experimentation, performance‑enhancement, or other non‑research use may result in immediate cancellation of orders and suspension or termination of your account.
4.3 Encore reserves the right, in its sole discretion, to:

Refuse or cancel orders.
Limit quantities.
Restrict, suspend, or terminate Site access to protect safety, legal compliance, or Encore’s reputation.

5. Orders, pricing, and payment

5.1 Product listings on the Site constitute an invitation to order, not a binding offer; your order is an offer to purchase that Encore may accept or decline.
5.2 Prices, discounts, and availability are subject to change at any time without notice, and Encore may correct pricing or description errors even after an order is submitted, provided that you are informed and offered a refund if applicable.

6.2 Title and risk of loss transfer to you when the shipment is delivered to the carrier, unless mandatory law provides otherwise.
6.3 You must provide accurate shipping information and ensure that someone authorized can receive regulated laboratory materials at the delivery address.
6.4 You are responsible for additional costs due to refused, delayed, customs‑held, or misdirected shipments that arise from incomplete, inaccurate, or restricted destination information.

7. Returns, replacements, and shortages

7.1 Returns, refunds, exchanges, and reporting of damaged or missing items are governed by Encore’s Refund and Returns Policy, which is incorporated into these Terms by reference.
7.2 Many reagents and perishable products cannot be returned due to stability, contamination, or regulatory considerations, except as expressly allowed in the Refund and Returns Policy.
7.3 You must inspect shipments promptly upon receipt and notify Encore within the timeframe specified in the Refund and Returns Policy if there are discrepancies, visible damage, or suspected quality issues, providing supporting documentation where requested.

8. Regulatory and legal disclaimers

8.1 Encore products have not been evaluated by the U.S. Food and Drug Administration or any other regulatory authority for safety or efficacy as foods, drugs, medical devices, or cosmetics.
8.2 Nothing on the Site or in any Encore communication constitutes medical, veterinary, or health advice; Encore does not diagnose, treat, cure, or prevent any disease.

9. Warranties, remedies, and limitations of liability

9.2 If you believe a product is non‑conforming, you must contact Encore within the notification period stated in the Refund and Returns Policy so Encore can evaluate and, at its discretion, repair, replace, or refund the purchase price as your exclusive remedy.
